Lenz & Staehelin advises Schmolz + Bickenbach in Proxy Fight and Public Tender Offer

Lenz & Staehelin advised the Board of Directors of the Swiss-German steel producer Schmolz + Bickenbach AG in its search process for equity investors and in the ensuing proxy fight at the AGM 2013 with its former 40% shareholder group Schmolz + Bickenbach GmbH & Co. KG and with Renova Group. Further advice related to the public tender offer launched by Renova on Schmolz + Bickenbach AG. Lenz & Staehelin also handles the proceedings before the Takeover Board and FINMA as well as the ongoing litigation relating to the capital increase of Schmolz + Bickenbach AG resolved on the AGM 2013. Lenz & Staehelin is advising the Schmolz + Bickenbach Board jointly with Jörg Walther of Schärer Rechtsanwälte.
