Lenz & Staehelin advises PolyPeptide's largest shareholder in connection with Samsung Biologics’s offer
On 20 July 2026, Samsung Biologics Co., Ltd., a leading Korean Contract Development and Manufacturing Organization (CDMO), and PolyPeptide Group AG, a Swiss-based specialized CDMO for peptide-based active pharmaceutical ingredients having its shares listed on SIX Swiss Exchange, announced a recommended tender offer by Samsung Biologics to acquire PolyPeptide at a price of CHF 44.31 per share. The tender offer values PolyPeptide's equity at approximately CHF 1.46 billion.
Lenz & Staehelin advised PolyPeptide's largest shareholder, Draupnir Holding B.V., in the transaction. Draupnir owns approximately 55.65% of PolyPeptide based on total shares outstanding, has been in support of the strategic review process that resulted in the transaction, and has committed to tender all of its PolyPeptide shares into Samsung Biologics' offer.
