Im Fokus der 27. Zürcher Konferenz zu Mergers & Acquisitions stand die "Aufbruchstimmung in der M&A-Landschaft", die von einer zunehmenden Dynamik und technologischen Durchdringung geprägt ist. Anerkannte Fachleute widmeten sich in ihren Referaten einer Vielzahl hochaktueller Themen aus der M&A-Praxis: von der Diskussion rund um W&I-Versicherungen über die Prä-Auktion im Vorfeld von öffentlichen Übernahmen, den Herausforderungen und Chancen von Joint Ventures – einer Transaktionsform, die zunehmend an Bedeutung gewinnt – bis hin zum Fokusthema Künstliche Intelligenz in M&A-Prozessen sowie den regulatorischen und Compliance-relevanten Implikationen bei der Übernahme von KI- und Fintech-Unternehmen. Die Publikation zeigt einmal mehr, wie wichtig der interdisziplinäre Austausch für die Weiterentwicklung der M&A-Praxis ist – sowohl rechtlich als auch strategisch.

Simplification of the sustainability frameworks: Swiss and EU Updates

Legislators in Switzerland and the EU are taking significant steps to simplify their respective sustainability reporting and corporate sustainability due diligence frameworks. In the EU, the Omnibus package introduced immediate deferrals of certain deadlines and proposes substantive simplifications to the Corporate Sustainability Reporting Directive (CSRD) and the Corporate Sustainability Due Diligence Directive (CSDDD) which will also impact non-EU entities, such as Swiss companies. In parallel, the Swiss government has paused domestic sustainability reforms announcing that it will publish a proposal for an indirect counterproposal to the second responsible business initiative by end of March 2026, once the direction of EU reforms becomes clearer. In early December, SIX Swiss Exchange has suspended its voluntary sustainability reporting "opt-in" regime for issuers with effect from 1 January 2026.

Introduction of a Federal Register of Beneficial Owners

On 26 September 2025, the Swiss Parliament adopted the Federal Act on the Transparency of Legal Entities and the Identification of Beneficial Owners (the "Legal Entities Transparency Act", "LETA"). The new law establishes a central federal Transparency Register in which Swiss legal entities and certain foreign entities with a Swiss nexus will be required to register information on their ultimate beneficial owners (UBO). LETA will replace the existing rules on UBO identification applicable to Swiss companies and aligns with evolving international standards, in particular those of the EU. Implementing ordinances are currently being prepared for consultation. The entry into force is expected around mid-2026.
