In der jüngeren Vergangenheit haben sich die Gesetzgeber mehrerer Länder und verschiedene internationale Organisationen der Problematik von Lizenzverträgen im Konkurs angenommen und Lösungsansätze entwickelt. Das vorliegende Werk analysiert die geltende schweizerische Rechtslage, die sich aus dem komplexen Zusammenspiel immaterialgüter-, vertrags- und konkursrechtlicher Regelungen ergibt, und erarbeitet Vorschläge, welche im Rahmen einer künftigen Revision des Bundesgesetzes über Schuldbetreibung und Konkurs umgesetzt werden könnten. Sodann widmet sich die Arbeit der kontroversen Frage, wie die Parteien durch vertragliche Gestaltung auf die nach Gesetz geltende Rechtslage Einfluss nehmen können.

The Court confirmed that claims for infringement of foreign patent designations can be heard at the defendant’s Swiss domicile and established a powerful principle of parallel infringement analysis across all EPC member states. For patent holders pursuing multi-jurisdictional strategies, Switzerland must be on the map.</p> <p class="MsoBodyText">The case arose from interim proceedings brought by Regeneron Pharmaceuticals, Inc., Bayer HealthCare LLC and Bayer Consumer Care AG against Sandoz Group AG, Sandoz AG and Sandoz Pharmaceuticals AG. The claimants sought a pan-European injunction against the distribution of Sandoz’ aflibercept biosimilar, relying on both the Swiss designation and multiple foreign designations of a European patent. <p class="MsoBodyText">The Swiss Federal Supreme Court has issued an important decision on asset sales during a composition moratorium. In essence, the court has clarified the following:</p> <p>- Like creditors, shareholders do not have standing to challenge a court's decision on asset sales during a composition moratorium.<br /> - If an asset sale occurs during a composition moratorium, no shareholder approval is required even if the sale relates to all or a significant part of the assets of a company.</p> <p class="MsoBodyText">The decision removes legal uncertainty and will be helpful to structure and implement pre-pack and other asset disposal transactions under time pressure.</p>
