Cette édition spéciale réunit les commentaires de ces textes publiés dans le cadre du Commentaire romand du Code des obligations. Les dispositions sur le droit de révocation en matière de démarchage et d'excursion-vente et sur le contrat de voyage à forfait sont commentées pour la première fois en français. Le commentaire de la nouvelle loi sur le crédit à la consommation, qui vise avant tout à prévenir le surendettement du consommateur preneur d'un crédit à la consommation (vente par acomptes, petit crédit, leasing de biens de consommation, crédit en compte-courant, cartes de crédit et de client avec option de crédit), est même le premier à analyser de façon systématique les dispositions de la nouvelle LCC entrée en vigueur le 1er janvier 2003.

<p>In decision 4A_305/2025 of 13 March 2026, the Swiss Federal Supreme Court held that Swiss sanctions against Russia are overriding mandatory law and apply irrespective of the otherwise applicable law. The Court reasoned that the Swiss Ukraine Ordinance serves Switzerland’s core foreign-policy objectives and therefore applies as overriding mandatory law. In this case, the Court held that the sanctions barred enforcement of the award in Switzerland and treated the claim as unenforceable while the sanctions remain in force.</p>

<p>The Federal Council has published the consultation draft of the Federal Act on Sustainable Business Conduct ("<strong>SBCA</strong>"), Switzerland's proposed framework for corporate sustainability due diligence and reporting. Closely aligned with the post-Omnibus EU framework, the SBCA significantly narrows the scope of companies subject to sustainability reporting compared to current Swiss law, while introducing new due diligence obligations for large enterprises, and raising important questions on civil liability that remain unresolved. The consultation period runs until 9&nbsp;July 2026.</p>
